Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Website Karaoke service (the "Service") operated by Roundtable ML, Inc., a Delaware corporation ("Company", "we", "us", or "our"). By placing an order, you ("Customer", "you") accept these Terms.

1. The Service

Website Karaoke is a paid creative service that produces a single short video file (an MP4, typically 2–3 minutes, in karaoke / lyric-video style) based on the public homepage copy of a website you submit ("Source Site") and a music genre you select. We deliver the resulting video (the "Deliverable") by email within approximately 72 hours of order confirmation.

2. Eligibility & your authority

By placing an order you represent and warrant that:

• You are at least 18 years old and able to enter into a binding contract.
• You are the owner of the Source Site, or you have the rights and permission to authorize us to use the publicly available text from that site for the purpose of producing the Deliverable.
• The information you submit (URL, email, billing details) is accurate and current.

3. Orders, pricing & payment

• Pricing is shown on the Service in U.S. dollars. Promotional or "early-bird" pricing may apply for a limited time and is described at checkout.
• Payment is collected at checkout via Stripe. Applicable taxes (sales tax, VAT, GST) are calculated and collected by Stripe Tax based on your billing details.
• Stripe sends you a separate receipt and, where applicable, a tax-compliant invoice (PDF). We are not your tax adviser; consult your own.
• An order is binding once payment is confirmed. We will then begin work on your Deliverable.

4. Revisions

Each order includes up to two (2) to three (3) rounds of revisions on the lyrics or musical vibe. Revision requests must be sent by email reply to the delivery email.

The Service is creative work that combines code-driven rendering, AI-generated music, and manual editing. You acknowledge that the Deliverable is a stylized, comedic interpretation and may contain artifacts, imperfect timings, or other quirks. We commit to making a Deliverable you are satisfied with within the included revisions, but not to perfection.

5. Refund & satisfaction guarantee

If you are not satisfied with your Deliverable after the included revisions, you may request a full refund within fourteen (14) days of delivery by emailing naveh@jyper.ai. Approved refunds are processed back to the original payment method via Stripe within 7 business days.

If we are unable to deliver a Deliverable for any reason, you will receive a full refund.

Refunds are not available where the Deliverable has been published, distributed, or otherwise used by you (e.g. posted publicly on social media, embedded in advertising) prior to the refund request.

6. Intellectual property

6.1 Your content

You retain all rights in the Source Site and any text, branding, or other content you provide. You grant us a limited, non-exclusive license to use that content solely to produce and deliver the Deliverable, and to retain working files for our records.

6.2 The Deliverable

Upon full payment, you receive a perpetual, worldwide, royalty-free license to use the Deliverable for your own personal, marketing, social-media, and internal-business purposes. Commercial use — including paid advertising, broadcast, sale, or sublicensing — is permitted upon written confirmation from us by email; we will not unreasonably withhold this. The underlying source files (lyric drafts, project files) remain our property.

6.3 Our right to showcase

Unless you tell us otherwise in writing before delivery, we may display the Deliverable on the Service, in social posts, and in case studies as an example of our work, with attribution to the Source Site. To opt out, email us before or upon delivery.

7. Acceptable use

You agree not to use the Service to produce content that:

• Infringes another party's intellectual property, publicity, or privacy rights.
• Is unlawful, defamatory, harassing, or hateful, or promotes violence or self-harm.
• Contains sexually explicit content, content sexualizing minors, or content depicting real persons in a manner they have not consented to.
• Targets a website you do not own and do not have permission to feature.
• Is intended to deceive (e.g. impersonate a brand, generate disinformation, or facilitate fraud).

We may, at our sole discretion, refuse, cancel, or refund any order that violates this section.

8. AI-generated content

Music in the Deliverable is produced using third-party generative AI models. AI-generated output may contain similarities to other works; we make no warranty of uniqueness. You should review the Deliverable before any public, commercial, or high-stakes use.

9. Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICE AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ROUNDTABLE ML, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.

11. Indemnity

You agree to defend, indemnify, and hold harmless Roundtable ML, Inc. from and against any claim, demand, or damages arising from (i) content you submit to the Service, (ii) your use of the Deliverable, or (iii) your breach of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, misuse the Service, or attempt fraud. Sections 5–11 and 13–15 survive termination.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to these Terms

We may update these Terms from time to time. The "Effective" date at the top reflects the current version. Material changes will be communicated by email to active customers. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire agreement: these Terms, together with the Privacy Policy and any order confirmation, are the entire agreement between you and us with respect to the Service.
• Severability: if any provision is held unenforceable, the remainder will continue in full force.
• No assignment: you may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger or sale.
• No agency: nothing in these Terms creates a partnership, joint venture, or employment relationship.
• Notices: notices to us must be sent to naveh@jyper.ai. We may give you notice via the email associated with your order.
